The Board of the Chemoservis-Dwory S.A. („the Issuer”) in connection to the Current Report No. 66/2010 from 26th July, 2010, informs that on 27th April, 2011 it received from subsidiary company ZakÅ‚ad Energetyczny ZEN Sp. z o.o. based in Dabrowia Gornicza („ZE ZEN”), information that ZE ZEN concluded annex to significant agreement with Synthos-Dwory 4 Sp. z o.o. based in Oswiecim.

The abovementioned annex expands to range the contract for the construction of Cogeneration Teams to bulid a new hall for the block transformer and the changing of the heat recovery technology. Consequently increase of the contract price is in the Polish currency reaching: 10.158.563,00 PLN (say: ten million one hundred fifty eight thousand five hundred sixty-three 00/100 PLN).

Parties agreed that the Conractor is irrespective entitled for the Contract Price net to the two additional salary, in the amount 516.667,00 PLN (say: five hundred and sixteen thousand six hundred sixty-seven PLN), each, paid after the Guarantee Measurement and Control Measurement, unless the transformation efficiency in the measurement reach at least 90,8 %. Where it is found in the measurement of the efficiency is high at than 90,8%, the above salary increase by 73.334,00 PLN (say: seventy three thousand three hundred thirty four 00/100 PLN) for each attained of the complete precentage point above efficiency 90,8 % to the maximum level of effeciency 93,8 %.

If the Control Measurement efficiency reaches a value less than 90,8 %, in for each complete precentage point reduction in the efficency of transformation in relation to the Power provided by the CONTRACTOR, pay a penatly in the amount of  146.667,00 PLN (say: one hundred forty six thousand six hundred sixty seven 00/100 PLN) – to level of efficiency 83,8 %, for every 1 % reduction started transformation efficiency in relation to the power of 83,8 %, the CONTRACTOR  shall pay a penatly of 1% of the Contract Price net. Where the transformation efficiency will be less than the 81,0% of the reasons for which the CONTRACTOR, CONTRATING reserves the right to leave the installation to a CONTRACTOR.

U. No 33 from year 2009 pos. 259).
