Subject: Granting of corporate guarantees for return of prepayments and proper realization of agreements
The Board of Chemoservis-Dwory S.A. („the Issuer”) informs that on behalf of the subsidiary company ZakÅ‚ad Energetyczny ZEN Sp. z o.o., on September 8th, 2010 it granted the following corporate guarantees:
1) Guarantee of return of prepayment, given according to agreement No 123/ZEZEN/PE/2010, concluded between ZE ZEN Sp. z o.o. and Synthos Dwory 4 Sp. z o.o., amounting to EUR 2 610 000,00, with obligatory date from the day of receiving of prepayment on the subsidiary company bank account until total accounting of prepayment on VAT invoices;
2) Guarantee of return of prepayment, given on the basis of agreement No 124/ZEZEN/PE/2010, concluded between ZE ZEN Sp. z o.o. and Synthos Dwory 5 Sp. z o.o., amounting to EUR 1 260 000,00, with obligatory date from the day of receiving of prepayment on the subsidiary company bank account until total accounting of prepayment on VAT invoices;
3) Guarantee of proper execution of agreement No 123/ZEZEN/PE/2010, concluded between ZE ZEN Sp. z o.o. and Synthos Dwory 4 Sp. z o.o., amounting to 10% of the agreements value which is PLN 1 025 772,34 and EUR 353 800,00, with obligatory date from day of granting until March 2nd, 2012;
4) Guarantee of proper execution of agreement No 124/ZEZEN/PE/2010, concluded between ZE ZEN Sp. z o.o. and Synthos Dwory 5 Sp. z o.o., amounting to 10% of the agreement value which is PLN 537 900,44 PLN and EUR 170 800,00, with obligatory date from day of granting until March 2nd, 2012.
Guarantees granted by the Issuer protect liabilities arising on following agreements of following values:
1) Agreement No 123/ZEZEN/PE/2010 from July 23rd, 2010 concluded between ZE ZEN Sp. z o.o. and Synthos Dwory 4 Sp. z o.o. on Construction of cogeneration teams in Oświęcim by Synthos Dwory 4 Sp. z o.o. for a total net amount of PLN 8 407 970,00 and EUR 2 900 000,00;
2) Agreement No 124/ZEZEN/PE/2010 from July 23rd, 2010 concluded between ZE ZEN Sp. z o.o. and Synthos Dwory 5 Sp. z o.o. on construction of cogeneration teams by Synthos Dwory 5 Sp. z o.o. for a total net amount of PLN 4 409 020,00 and EUR 1 400 000,00.
